Promoter Terms and Conditions

These Promoter Terms and Conditions govern the relationship between AppTributor and each approved promoter using the AppTributor platform.

Key Promoter Conduct Rules

These are core conditions of the promoter agreement and are treated as key compliance obligations.

Important Conduct Conditions

  • You must not promote AppTributor links, AppTributor content, or any linked app on adult, pornographic, sexually explicit, obscene, indecent, escort, or otherwise inappropriate websites, channels, communities, or publications.
  • You must not promote AppTributor links, AppTributor content, or any linked app on websites, channels, apps, or publications that are designed only or mainly for children.
  • You must not present yourself as an employee, worker, officer, director, partner, staff member, official representative, or agent of AppTributor, any associated company of AppTributor, or any app provider whose app you are promoting.
  • You must always present promoted apps as being introduced by you as a third-party independent promoter.
  • You must promote all apps and links in a professional, decent, lawful, respectful, and non-misleading manner.
  • Any use of vulgar, sexually suggestive, obscene, abusive, hateful, threatening, discriminatory, harassing, or otherwise inappropriate language in promotional content, posts, messages, videos, captions, email campaigns, websites, or advertisements will be treated as a breach of these Terms.
  • You must not create the impression that AppTributor or any promoted app provider has authorised you to make legal, regulatory, pricing, service, or contractual promises on its behalf unless AppTributor has expressly authorised that in writing.
  • You must not use marketing methods, environments, or brand associations that could reasonably damage the reputation of AppTributor, any associated company, or any promoted app provider.

Important: breach of the conduct rules in this section may result in immediate suspension or termination of the promoter account, cancellation or withholding of unpaid commission, disabling of referral links, and any other action AppTributor considers necessary to protect its business, reputation, customers, and app partners.

1. Parties, Operator and Acceptance

This section identifies the contracting parties and explains when the agreement starts.

These Promoter Terms and Conditions (“Terms”) form a legally binding agreement between AppTributor Limited (a company registerd in England & Wales, trading as AppTributor, with registered office at 497 Sunleigh Road, Wembley HA0 4LY, United Kingdom and contact email hello@apptributor.co.uk (“AppTributor”, “we”, “us”, “our”), and the person or organisation applying for, accessing, or using an AppTributor promoter account (“Promoter”, “you”, “your”).

By applying for a promoter account, clicking acceptance, or using the platform after approval, you confirm that you have read, understood, and agreed to these Terms.

If you accept these Terms on behalf of a company or other organisation, you confirm that you have authority to bind that entity, and references to “you” include that entity.

2. Eligibility and Territory Restrictions

AppTributor is not offering this promoter agreement to UK individuals or UK businesses.

You may only apply for and use an AppTributor promoter account if you are:

  • at least 18 years old;
  • legally capable of entering into binding contracts;
  • an individual or business acting outside the United Kingdom; and
  • not a person, business, branch, permanent establishment, office, or other entity located, incorporated, formed, established, resident, ordinarily resident, or operating in the United Kingdom.

AppTributor does not enter into promoter agreements with individuals in the UK or with businesses in the UK. By applying or using the platform, you represent and warrant that you do not fall within those categories.

You must notify AppTributor immediately if your residency, place of business, incorporation, control, ownership, or operating location changes in a way that may affect your eligibility.

3. Approval, Review and Ongoing Eligibility

Approval is discretionary and may be withdrawn, limited, paused, or not renewed.

AppTributor may review every application before approval. Submission of an application does not create any right to approval, access, commissions, continued participation, or permanent participation in the promoter programme.

We may request documents or information to verify your identity, legal status, place of business, ownership, tax status, marketing methods, audience type, compliance profile, promotional suitability, or any other matter relevant to our decision.

You must provide complete, accurate, and up-to-date information. AppTributor may reject, delay, suspend, restrict, pause, decline to renew, or terminate your account if information is incomplete, inaccurate, misleading, unverifiable, high-risk, or inconsistent with these Terms or our business requirements.

Promoter participation is subject to ongoing review. AppTributor may at any time review whether continued participation remains commercially appropriate, operationally suitable, compliant, supportable, strategically desirable, or otherwise in the best interests of the programme.

For the avoidance of doubt, AppTributor may limit, pause, suspend, restrict, decline to renew, or end promoter participation for business, programme-capacity, commercial, strategic, app-partner, legal, compliance, operational, product, or reputational reasons, including where AppTributor no longer requires the same level of promoter-driven new customer acquisition.

4. Independent Contractor Status; No Employment; No Agency; No Official Representation

The Promoter is independent and has no authority to bind AppTributor or hold itself out as official.

The relationship between AppTributor and the Promoter is strictly that of independent contracting parties.

  • You are not our employee, worker, consultant, partner, joint venturer, franchisee, fiduciary, or representative.
  • You are not our distributor, reseller, or sub-licensor unless we separately agree this in writing.
  • You have no authority to negotiate, conclude, vary, or bind any contract on behalf of AppTributor or any third-party app provider.
  • You must not represent, suggest, imply, or allow others to believe that you are an employee, officer, staff member, director, authorised representative, spokesperson, official partner, or legal representative of AppTributor, any associated company, or any promoted app provider.
  • You must not use job titles, email signatures, profile descriptions, website wording, video statements, advert text, or messaging that creates an impression of official internal status.
  • You must not claim that you can approve customers, negotiate terms, grant discounts, give legal assurances, make binding commitments, or speak officially for AppTributor or any app provider unless expressly authorised in writing.
  • You are solely responsible for your own taxes, insurance, staff, subcontractors, equipment, costs, and legal compliance.

To the fullest extent permitted by law, the parties agree that these Terms do not create a commercial agency, employment, worker, franchise, partnership, or joint venture relationship.

5. Non-Exclusive Appointment

AppTributor may appoint other promoters and market directly.

If approved, AppTributor grants you a limited, revocable, non-exclusive, non-transferable right to promote approved links and materials made available through the platform, subject to these Terms.

AppTributor may appoint other promoters, market directly, work with agencies, work with app providers, or use any other sales or marketing channel at any time.

Nothing in these Terms gives you exclusivity over any territory, audience, channel, keyword, campaign, customer, prospect, or industry sector.

6. Account Security and Account Use

You are responsible for account access and account activity.

You must keep your login details confidential and maintain appropriate security over your devices, email account, browser, and connected systems.

You are responsible for all activity carried out through your account unless and until you notify us of a security incident and we have had a reasonable opportunity to respond.

AppTributor may require password resets, multi-factor authentication, email verification, re-verification, or additional account controls at any time.

7. Referral Links, ATID, Sessions and Cookies

This section explains how tracking works and what can affect it.

AppTributor issues Promoters with unique referral links containing a unique tracking value, currently referred to as ATID.

When a user clicks your referral link, the ATID may be added to the destination URL and may continue to appear while the user browses the website during that session.

If the user signs up during that session, the signup may be linked to your promoter account.

If the user accepts the applicable cookie notice or consent mechanism, AppTributor may store referral tracking information in the user’s browser for up to 90 days.

  • If the user refuses non-essential cookies, tracking may be reduced or unavailable.
  • If the user clears cookies or browser storage, the saved ATID may be removed.
  • If the user later clicks another promoter’s referral link before signup, the later ATID may replace the earlier ATID.
  • Once a user signs up and is linked to a promoter account, another promoter cannot normally take over that linked customer through later clicks.
  • If a linked user deletes the account and later creates a new account, that new account may become available for attribution again.

AppTributor uses reasonable efforts to operate tracking fairly, but tracking is not guaranteed. Tracking can be affected by cookie settings, privacy tools, browser policies, ad blockers, device changes, link rewriting, email client behaviour, network conditions, user actions, consent choices, system errors, platform changes, fraud-prevention controls, or events outside our control.

AppTributor’s records of clicks, sessions, cookie state, attribution, linked users, sales, refunds, cancellations, fraud reviews, and commission calculations are conclusive and binding unless there is a manifest error.

8. Promotion Rules, Professional Conduct and Marketing Compliance

You must market lawfully, honestly, professionally, and in suitable environments only.

You are solely responsible for your own marketing activity, the channels you use, the countries you target, and compliance with all laws, regulations, codes, guidance, platform rules, and industry standards that apply to your activity and target audience.

  • You must always market in a professional, decent, respectful, and brand-safe way.
  • You must not use vulgar, obscene, sexually explicit, abusive, defamatory, hateful, threatening, harassing, discriminatory, shocking, degrading, or otherwise inappropriate language, images, audio, video, captions, comments, or ad content.
  • You must not use misleading, exaggerated, false, or unsubstantiated claims about AppTributor, any promoted app, pricing, compliance, inspection outcomes, legal obligations, service capability, business outcomes, refunds, guarantees, or customer rights.
  • You must not market on adult, pornographic, sexually explicit, escort, indecent, or obscene sites, pages, communities, channels, accounts, groups, or publications.
  • You must not market on websites, apps, channels, publications, or communities aimed only or mainly at children.
  • You must not market in environments connected with hate speech, extremism, violence glorification, illegal drugs, unlawful weapons, scams, malware, piracy, counterfeit goods, or other harmful or unlawful activity.
  • You must not send unlawful spam, unlawful unsolicited messages, or marketing communications where consent, notice, or opt-out rights are required and have not been properly handled.
  • You must keep any records needed to prove that your marketing was lawful, including consent records where applicable.
  • You must not impersonate AppTributor, any associated company, any app provider, a regulator, or any other person.
  • You must not claim or imply that your content is an official AppTributor announcement, official support communication, official compliance advice, or official app-provider communication unless specifically authorised in writing.
  • You must not use malware, spyware, adware, forced redirects, hidden redirects, click injection, cookie stuffing, fake accounts, false traffic, bots, fraudulent signups, misleading domains, or any similar manipulation.
  • You must not self-refer, refer your own alter ego, or create artificial or collusive transactions to generate commissions.
  • You must not target sanctioned persons, prohibited jurisdictions, or restricted parties, and you must not use bribery, corruption, tax evasion facilitation, money laundering, or other unlawful conduct.
  • You must not use marketing methods, language, targeting, or brand associations that could reasonably embarrass, damage, or bring into disrepute AppTributor, any associated company, any app provider, or any related brand.

AppTributor may issue marketing rules, prohibited-source lists, brand guidance, channel restrictions, and compliance directions from time to time. You must follow them.

AppTributor may determine, in its reasonable discretion, whether any content, environment, placement, campaign, or conduct is unprofessional, inappropriate, harmful, misleading, brand-damaging, or otherwise unacceptable for the promoter program.

9. App Information, Approved Materials and Intellectual Property

You may only use AppTributor materials in the way we allow.

AppTributor and its licensors own all intellectual property rights in the platform, branding, names, logos, designs, referral systems, databases, text, graphics, documents, software, and promotional materials, except for third-party materials owned by their respective owners.

Subject to these Terms, AppTributor grants you a limited, revocable, non-exclusive licence during the term to use approved branding and promotional materials solely for lawful promotion of approved AppTributor links.

  • You must not alter approved materials in a misleading or brand-damaging way.
  • You must not register domains, company names, social handles, ad accounts, profile names, or pages that suggest official ownership or endorsement by AppTributor or any app provider unless expressly authorised in writing.
  • You must stop using all AppTributor materials immediately when requested or when the agreement ends.

10. Eligible Sales

Commission is only payable on eligible sales recognised by AppTributor.

An Eligible Sale means a transaction that AppTributor records as valid, attributable, completed, commissionable, and not excluded under these Terms.

AppTributor may exclude or reverse any transaction from commission eligibility where, in our reasonable judgment, it involves fraud, self-referral, collusion, invalid attribution, refund, chargeback, cancellation, abuse, duplicate crediting, dispute, unlawful conduct, or any breach of these Terms.

Unless AppTributor expressly states otherwise, commission is calculated using the relevant net sale value recorded by AppTributor, excluding VAT, sales tax, GST, similar taxes, credits, write-offs, and any amounts later refunded, reversed, uncollected, or otherwise not retained.

11. Commission Model

This section reflects the commission rules shown across your public platform pages.

Subject always to these Terms, the Promoter may earn commission on Eligible Sales linked to referred customers.

If a referred customer becomes a paying user and continues to generate Eligible Sales, the Promoter may continue to earn commission on those Eligible Sales for up to 12 months from that customer’s signup date.

  • If the referred customer cancels and no further sale occurs, no further commission is payable because there is no further Eligible Sale.
  • After the 12-month period measured from that customer’s signup date, no further commission is payable for that customer unless AppTributor expressly agrees otherwise in writing.
  • Commission is not guaranteed merely because a user clicked a link or signed up; an Eligible Sale must actually occur and remain valid.

The monthly commission rates currently intended by AppTributor are:

  • Monthly income up to £100: 20%
  • Monthly income £101 to £200: 25% on all Eligible Sales for that month
  • Monthly income £201 to £500: 30% on all Eligible Sales for that month
  • Monthly income above £500: 40% on all Eligible Sales for that month

Monthly income means the net amount of invoices paid by the customer for Eligible Sales linked to that customer in that calendar month, excluding VAT, sales tax, GST, similar taxes, credits, write-offs, and any amounts later refunded, reversed, uncollected, or otherwise not retained.

Where the Promoter’s monthly income moves into a higher band, the higher applicable rate for that month applies to all Eligible Sales for that month, not only the portion above the threshold.

AppTributor may amend commission rates, thresholds, eligibility rules, excluded transactions, and related commercial rules prospectively by updating the platform or giving notice.

12. Statements, Payment Timing, Withholding and Set-Off

AppTributor controls calculation, verification, and release of commission payments.

AppTributor may make statements, dashboards, calculations, and payment summaries available through the platform. These are provided for convenience and may be corrected at any time.

Commission payments are made only after AppTributor has completed any checks it considers necessary, including checks relating to attribution, fraud, cancellations, chargebacks, tax, compliance, identity, sanctions, payment details, and outstanding disputes.

  • AppTributor may withhold, defer, reduce, reverse, or set off commission amounts where this is reasonably necessary.
  • AppTributor may recover overpayments from future commission or by direct repayment request.
  • You must provide accurate payment details and any information reasonably requested for compliance, anti-fraud, or payment processing purposes.
  • Bank charges, intermediary charges, foreign exchange losses, and receiving-bank fees are your responsibility unless we agree otherwise.

13. Taxes

The Promoter is responsible for their own tax affairs.

You are solely responsible for your own taxes, filings, registrations, withholdings, invoicing obligations, customs, duties, levies, reporting duties, and similar liabilities arising from your participation in AppTributor.

If any withholding or deduction is required by law, AppTributor may make that withholding or deduction and pay only the net amount.

14. Data Protection and Privacy

AppTributor and the Promoter each remain responsible for their own legal compliance.

Each party must comply with all data protection and privacy laws applicable to its own activities.

Unless AppTributor expressly agrees otherwise in writing, the Promoter is not authorised to receive end-user personal data beyond what is made available through the platform in the ordinary course, and must not request, scrape, harvest, or misuse personal data.

AppTributor may process personal data in accordance with its privacy and cookie notices and as reasonably necessary to operate the platform, verify accounts, prevent fraud, track referrals, calculate commissions, satisfy legal obligations, and protect its rights.

15. Confidentiality

Non-public information must be protected.

You must keep confidential and not disclose any non-public information relating to AppTributor, the platform, app providers, commission rules, tracking methods, fraud controls, customer data, business plans, commercial terms, technical systems, or other confidential material, except where disclosure is required by law.

Confidential information may only be used for proper performance under these Terms and must be protected with reasonable security measures.

16. Warranties by the Promoter

You make important promises to AppTributor.

  • You have full legal power and authority to enter into these Terms.
  • You are outside the UK and remain eligible under section 2.
  • All information you provide is true, complete, current, and not misleading.
  • Your marketing and other activities will comply with all applicable laws, regulations, and platform rules.
  • Your marketing content, placements, communications, and public statements will remain professional, decent, lawful, non-defamatory, non-vulgar, and suitable for the promoted business audience.
  • You will not present yourself as AppTributor staff or as an official representative of AppTributor or any promoted app provider unless expressly authorised in writing.
  • You will not infringe intellectual property, privacy, consumer protection, advertising, anti-spam, or other legal rights.
  • You will not hold yourself out as having authority you do not have.

17. AppTributor Disclaimers

The platform is provided on a business-risk basis.

Except as expressly stated in these Terms, AppTributor provides the platform, referral links, dashboards, tracking systems, statements, app information, and related services on an “as is” and “as available” basis.

To the fullest extent permitted by law, AppTributor disclaims all implied warranties, representations, and conditions, including implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, accuracy, uninterrupted availability, and non-infringement.

AppTributor does not guarantee any volume of clicks, referrals, signups, customers, Eligible Sales, recurring sales, commissions, payments, uptime, continued availability of any app, or continued operation of any third-party site, payment service, cookie behaviour, or browser behaviour.

18. Limitation of Liability

Liability is limited as far as the law allows.

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Subject to the previous sentence, AppTributor will not be liable to you for any indirect, incidental, special, exemplary, punitive, or consequential loss, or for any loss of profit, business, revenue, goodwill, anticipated savings, opportunity, data, reputation, or business interruption, even if such loss was foreseeable.

Subject to the first paragraph of this section, AppTributor’s total aggregate liability to you arising out of or in connection with these Terms, the platform, or your participation as a Promoter will not exceed the total amount of commission actually paid to you by AppTributor during the 12 months immediately preceding the event giving rise to the claim, or £250 if no such commission has been paid.

19. Indemnity

The Promoter must protect AppTributor from losses caused by the Promoter’s conduct.

You will indemnify, defend, and hold harmless AppTributor, its group companies, officers, employees, contractors, licensors, and partners from and against all claims, liabilities, losses, damages, judgments, penalties, fines, investigations, enforcement actions, costs, and expenses (including reasonable legal fees) arising out of or connected with:

  • your breach of these Terms;
  • your marketing activity, placement environments, or marketing content;
  • your unlawful messaging, spam, advertising, consent failures, privacy breaches, or unprofessional or inappropriate promotional conduct;
  • your taxes, filings, or withholding obligations;
  • your misrepresentation, fraud, negligence, wilful misconduct, or regulatory breach;
  • any claim that AppTributor is legally responsible for your marketing statements, content, conduct, or promises;
  • any claim that AppTributor is your employer, principal, partner, or legal representative because of your acts or omissions; or
  • your infringement or misuse of intellectual property, confidential information, personal data, or third-party rights.

20. Suspension, Restriction, Pause, Non-Renewal and Termination

AppTributor may act quickly to protect the platform, its users, its app partners, and its commercial programme.

Promoter participation in the AppTributor programme is not guaranteed on a permanent basis. AppTributor may at any time, with or without notice and in its sole discretion, suspend, pause, restrict, limit, decline to renew, or terminate any promoter account, promoter participation, or right to generate new referrals, where AppTributor considers that this is required or desirable for commercial, operational, strategic, programme-capacity, app-partner, support, legal, regulatory, compliance, security, product, payment, reputational, or other business reasons.

Without limiting the generality of the previous paragraph, AppTributor may suspend, pause, restrict, decline to renew, or terminate your account immediately if it reasonably believes, suspects, or determines that:

  • you are in breach of these Terms;
  • you are no longer eligible;
  • your activity is unlawful, misleading, high-risk, fraudulent, abusive, unprofessional, indecent, offensive, harmful, unsuitable, or reputationally damaging;
  • you have promoted on prohibited or inappropriate channels or in prohibited environments;
  • you have presented yourself as official staff, representative, or agent when you were not authorised to do so;
  • you have used misleading claims, spam, unsuitable branding, prohibited content, poor-quality promotion, or any other unacceptable marketing method;
  • there is suspected fraud, self-referral, collusion, attribution manipulation, fake traffic, fake signups, suspicious traffic, cookie stuffing, click manipulation, or other abuse;
  • your account shows prolonged inactivity, insufficient activity, low-quality participation, or a lack of meaningful promoter engagement over a period determined by AppTributor;
  • you fail to provide accurate, complete, current, or verifiable information when reasonably requested;
  • you fail to cooperate with compliance, verification, fraud, payment, tax, security, or programme review checks;
  • continuing the relationship would create legal, regulatory, technical, security, reputational, payment, app-partner, or operational risk;
  • programme capacity or commercial reasons mean that AppTributor wishes to reduce, stop, or limit new promoter-driven customer acquisition, whether generally or in particular markets, sectors, campaigns, channels, or categories;
  • AppTributor’s contract, arrangement, authorisation, licence, commercial right, or promotional permission with a software vendor, app vendor, app provider, app owner, or other partner has ended, been suspended, been restricted, not been renewed, or otherwise changed, so that AppTributor no longer wishes or is no longer able to continue the same promoter activity for that app or related promotion;
  • AppTributor has stopped, reduced, changed, withdrawn, or restructured the relevant app promotion, app listing, referral model, attribution model, or promoter programme in whole or in part; or
  • continued participation is no longer considered suitable, commercially appropriate, safe, supportable, or in the best interests of AppTributor, its customers, its app partners, or the promoter programme.

AppTributor may apply a full account pause or termination, or a narrower restriction. A narrower restriction may include, by way of example only, disabling specific referral links, disabling promotion of one or more apps, stopping new referral attribution, pausing new signup allocation, restricting certain territories or channels, or preventing the creation of new attributed business while leaving the account otherwise accessible.

You may stop using the platform and close your account at any time, but termination does not affect liabilities already accrued.

21. Consequences of Suspension, Restriction, Pause or Termination

Account action affects future attribution, use of old content, and continuing rights.

On suspension, restriction, pause, non-renewal, or termination:

  • your right to access and use AppTributor materials may end immediately, whether fully or in part;
  • you must stop promoting as an AppTributor promoter to the extent required by the relevant account status and remove AppTributor branding where requested;
  • AppTributor may disable referral links, tracking, attribution, dashboards, access, and payment processing, whether fully or selectively;
  • AppTributor may withhold, cancel, defer, reduce, reverse, or set off unpaid commission where there is suspected breach, fraud, compliance risk, reversal risk, app-partner risk, outstanding investigation, or reputational concern arising from your conduct or account status.

If your account is paused, suspended, restricted, closed, or otherwise prevented from generating new referrals, you shall have no right to generate, receive credit for, or claim commission on any new visitor activity, new referrals, new customer signups, or new attributed business arising after the effective date of that account action.

For the avoidance of doubt, any visitor activity, signup, referral event, or customer conversion occurring after the effective date of the relevant account action shall not be allocated, attributed, or credited to your account, even where that activity arises from content, links, posts, pages, emails, videos, ads, messages, websites, campaigns, or other promotional materials that you created, circulated, uploaded, or published before the pause, suspension, restriction, or closure.

While your account is paused, suspended, or restricted, you must immediately stop using the affected referral links and must, where reasonably practicable, remove, disable, withdraw, unpublish, or stop distributing promotional content containing those links or otherwise connected to paused promotion. If you later become active again, you may resume promotional activity only in accordance with the programme rules, links, permissions, and conditions then in force.

If you wish, you may remove older promotional content while your account is paused and, if AppTributor later reactivates the account or restores the relevant promotion rights, you may choose to publish fresh promotional content again using the links, permissions, app scope, and programme conditions then applicable. Reactivation does not revive attribution for activity that occurred while the account was paused, suspended, restricted, or closed.

AppTributor shall not be responsible for any continued sharing, reposting, forwarding, indexing, caching, mirroring, republication, or third-party circulation of old promotional content after your account has been paused, suspended, restricted, or closed, and no such continued circulation shall create any right to attribution, allocation, or commission unless AppTributor expressly agrees otherwise in writing.

Unless AppTributor expressly agrees otherwise in writing, no new commission accrues after termination or after any restriction that disables new referral attribution. However, a pause, suspension, restriction, or non-renewal affecting your ability to generate new referrals shall not, by itself, affect commission already validly earned before the effective date of that action, and shall not, by itself, affect commission on previously accepted referred customers during the balance of their applicable commission period, unless the relevant account action arose from breach, misconduct, fraud, misleading promotion, prohibited conduct, or other disqualifying circumstances.

Any unpaid commission already accrued before termination or before the relevant effective date remains subject to these Terms, including fraud review, reversals, withholding, set-off, app-partner adjustments, vendor-related changes, payment verification, and compliance checks.

22. Changes to the Platform and These Terms

AppTributor may update its program and legal terms.

AppTributor may modify the platform, links, tracking model, cookie handling, attribution rules, commission rules, eligibility rules, payment processes, app lineup, or these Terms at any time.

Updated Terms may be posted on the website or otherwise notified to you. Continued use of the platform after the effective date of updated Terms constitutes acceptance of the updated Terms.

23. Governing Law and Jurisdiction

This agreement is governed by English law.

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction to settle any dispute, claim, or controversy arising out of or in connection with these Terms, the platform, or the relationship between the parties.

24. General

Standard legal operating clauses.

  • If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
  • No failure or delay by AppTributor to exercise a right operates as a waiver.
  • You may not assign, transfer, charge, subcontract, or otherwise deal with your rights or obligations without AppTributor’s prior written consent.
  • AppTributor may assign or transfer these Terms and related rights as part of a restructuring, sale, group transfer, outsourcing, or financing arrangement.
  • These Terms, together with any policies expressly incorporated by reference, form the entire agreement between the parties concerning the promoter program and supersede prior discussions on that subject.
  • Any notice from AppTributor may be given by email, platform message, website posting, or any other reasonable method.
  • Sections intended by their nature to survive termination do survive termination, including sections on confidentiality, data, liability, indemnity, payments, tax, governing law, jurisdiction, and records.
